These Terms of Use (“Terms”) constitute our terms of service that govern our relationship with users and others who interact with University Primetime. By using or accessing University Primetime, you agree to these Terms, as updated and amended by us from time to time in accordance with Section 6 below.
Privacy
Your privacy is very important to us. We designed our Privacy Policy to make important disclosures about how you can use University Primetime to share with others and how we collect and can use your content and information. We encourage you to read the Privacy Policy, and to use it to help you make informed decisions.
Sharing Your Content and Information
You own all of the content and information you post on University Primetime. In addition: For content that is covered by intellectual property rights, like photos and videos (IP content), you specifically give us the following rights: you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any IP content that you post on or in connection with University Primetime (an “IP License”).
By posting content on University Primetime, you represent to us that you have all the rights to all content (including any text, photos, or other materials) necessary to allow you to use and post such content, and that your posting and use of such content does not violate any other party’s rights. University Primetime LLC will not be held responsible for any copyright, trademark or other intellectual property infringements on media you upload to the site.
When you publish content or information on University Primetime, it means that you are allowing everyone, including people who are not participants in University Primetime, to access and use that information, and to associate it with you.
We always appreciate your feedback or other suggestions about University Primetime, but you understand that we may use them without any obligation to compensate you for them (just as you have no obligation to offer them).
Submitting Your Content
All content submissions will be uploaded directly to UniversityPrimetime.com and not embedded whenever possible. This means we may source the media file from the submission, the internet or any other means.
University Primetime will not be held responsible for any offensive, illegal or otherwise inappropriate content in the submitted content.
Video content on UniversityPrimetime.com may have ads displayed before, during or after it depending on the page it is displayed on.
We reserve the right to remove content at any time for violations of our policies or any other reason at our sole discretion.
Safety and Civility
University Primetime reserves the right to remove, in its sole discretion, any content that it deems in violation of its policies.
We do our best to keep University Primetime safe, but we cannot guarantee it. We need your help to keep University Primetime safe, which includes the following commitments by you:
You will not post unauthorized commercial communications (such as spam) on University Primetime.
You will not collect users’ content or information, or otherwise access University Primetime, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our prior written permission.
You will not engage in unlawful multi-level marketing – such as a pyramid scheme – on or through the use of University Primetime.
You will not upload viruses or other malicious code.
You will not solicit login information or access an account belonging to someone else.
You will not bully, intimidate, or harass any user.
You will not post content that: is vulgar, hate speech, threatening, or pornographic; incites violence; or contains nudity or graphic or gratuitous violence.
You will not publicize or offer any contest, giveaway, or sweepstakes (“promotion”) on University Primetime without our prior written consent.
You will not use University Primetime to do anything unlawful, misleading, malicious, or discriminatory.
You will not do anything that could disable, overburden, or impair the functioning or appearance of University Primetime, such as a denial of service attack or interference with page rendering or other University Primetime functionality.
You will not facilitate or encourage any violations of these Terms or our policies.
Registration and Account Security
University Primetime users provide their real names and information, and we need your help to keep it that way. Here are some commitments you make to us relating to registering and maintaining the security of your account:
You will not provide any false personal information on University Primetime, or create an account for anyone other than yourself without permission.
You will not create more than one personal account.
If we disable your account, you will not create another one without our permission.
You will not use your personal account for your own commercial gain, and will not undertake any commercial enterprise on or through the use of University Primetime without our prior written permission.
You will not use University Primetime if you are under 18.
You will not use University Primetime if you are a convicted or registered sex offender.
You will keep your contact information accurate and up-to-date.
You will not share your password, let anyone else access your account, or do anything else that might jeopardize the security of your account.
If you select a username or similar identifier for your account or Page, we reserve the right to remove or reclaim it if we believe it is appropriate (such as any content University Primetime deems offensive or when a trademark owner complains about a username that does not closely relate to a user’s actual name).
You are solely responsible for maintaining the confidentiality and security of your password and your University Primetime Account. You understand and agree that you are fully responsible for all actions and postings made from your University Primetime Account.
Protecting Other People’s Rights
We respect other people’s rights, and expect you to do the same.
You will not post content or take any action on University Primetime that infringes or violates someone else’s copyright or other rights or otherwise violates the law.
We can remove any content or information you post on University Primetime in our sole discretion if we believe that it violates these Terms or our policies.
We provide you with tools to help you protect your intellectual property rights. Any suspected infringement of any intellectual property rights should be reported to [ ] at [ ].
If we remove your content for infringing someone else’s copyright, and you believe we removed it by mistake, we will provide you with an opportunity to explain your position.
If you repeatedly infringe other people’s intellectual property rights, we will disable your account when we determine such action to be appropriate.
You will not use our copyrights or trademarks (including the name University Primetime or any University Primetime logos), or any confusingly similar marks, except with our prior written permission.
You will not collect personal information from users without University Primetime’s prior written consent. In any event, if you collect information from users, you will: obtain their consent, make it clear you (and not University Primetime) are the one collecting their information, and post a privacy policy explaining what information you collect and how you will use it.
You will not post anyone’s identification documents or sensitive financial information on University Primetime.
Amendments
Unless we make a change for legal or administrative reasons or to correct an error, we will provide you with three (3) days’ notice (for example, by posting the change on the University Primetime Terms of Use Page).
Your continued use of University Primetime following changes to our Terms constitutes your acceptance of our amended Terms.
Termination
If you violate the letter or spirit of these Terms, or otherwise create risk or possible legal exposure for us, we can stop providing all or part of University Primetime to you. We will notify you by email or at the next time you attempt to access your account. You may also delete your account at any time. In all such cases, these Terms shall still be applicable to you and your dealings with University Primetime.
Disputes
You will resolve any claim, cause of action or dispute (claim) you have with us arising out of or relating to these Terms or University Primetime exclusively in a state or federal court located in or serving the area of Passaic County, New Jersey. The substantive laws of the State of New Jersey will govern these Terms, as well as any claim that might arise between you and us, without regard to conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Passaic County, New Jersey (as well as of the federal court located in Essex County, New Jersey) for the purpose of litigating all such claims.
If anyone brings a claim against us related to your actions, content or information on University Primetime, you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim. Although we provide rules for user conduct, we do not control or direct users’ actions on University Primetime and are not responsible for the content or information users transmit or share on University Primetime. We are not responsible for any inaccurate, defamatory, offensive, inappropriate, obscene, unlawful or otherwise objectionable content or information you may encounter on University Primetime. We are not responsible for the conduct, whether online or offline, or any user of University Primetime.
UNIVERSITY PRIMETIME IS NOT RESPONSIBLE FOR THE ACCURACY OF ANY EVENT OR OTHER INFORMATION POSTED ON ITS SITE.
WE TRY TO KEEP UNIVERSITY PRIMETIME UP, BUG-FREE, AND SAFE, BUT YOU USE IT AT YOUR OWN RISK. WE ARE PROVIDING UNIVERSITY PRIMETIME “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT UNIVERSITY PRIMETIME WILL ALWAYS BE SAFE, SECURE OR ERROR-FREE OR THAT UNIVERSITY PRIMETIME WILL ALWAYS FUNCTION WITHOUT DISRUPTIONS, DELAYS OR IMPERFECTIONS. UNIVERSITY PRIMETIME IS NOT RESPONSIBLE FOR THE ACTIONS, CONTENT, INFORMATION, OR DATA OF THIRD PARTIES, AND YOU RELEASE US, OUR DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES.
IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE §1542, WHICH SAYS: A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR. WE WILL NOT BE LIABLE TO YOU FOR ANY LOST PROFITS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT, OR INCIDENTAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR UNIVERSITY PRIMETIME, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR UNIVERSITY PRIMETIME WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN SUCH CASES, UNIVERSITY PRIMETIME’S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
Use of the site outside of the United States and Canada
University Primetime is currently intended for use only in the United States and Canada, and is currently limited to individuals and businesses located in those countries.
Definitions
By “University Primetime” we mean the features and services we make available, including through (a) our website at www.University Primetime.com and any other University Primetime branded or co-branded websites (including sub-domains, international versions, widgets, and mobile versions); and (b) other media, software (such as a toolbar), devices, or networks now existing or later developed.
By “information” we mean facts and other information about you, including actions taken by users and non-users who interact with University Primetime.
By “content” we mean anything you or other users post on University Primetime that would not be included in the definition of information.
By “post” we mean post on University Primetime or otherwise make available by using University Primetime.
By “use” we mean use, copy, publicly perform or display, distribute, modify, translate, and create derivative works thereof.
Other
These Terms are an agreement between you and University Primetime LLC.
References to “us,” “we,” and “our” mean University Primetime LLC.
These Terms make up the entire agreement between the parties regarding University Primetime, and supersedes any prior agreements.
If any portion of these Terms is found to be unenforceable, the remaining portion will remain in full force and effect.
If we fail to enforce any of these Terms, it will not be considered a waiver.
Any waiver of these Terms must be made in writing and signed by us. These Terms may only be amended by us as described in Section 6.
You will not transfer or assign any of your rights or obligations under these Terms to anyone else without our prior written consent.
All of our rights and obligations under these Terms are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.
Nothing in these Terms shall prevent us from complying with the law.
These Terms do not confer any third party beneficiary rights.
We reserve all rights not expressly granted to you.
You will comply with all applicable laws when using or accessing University Primetime.
